1. Research-Use Disclaimer
Quandra v8 (the "Service") is provided for scientific research, education, and internal decision-support workflows. The Service produces verified computational outputs, drafted protocols, drafted statistical analysis plans, and cited references derived from public regulatory corpora.
The Service is not: a medical device, an in-vitro diagnostic, a clinical decision-support system regulated under 21 CFR 880.6900, a substitute for a licensed physician, pharmacist, or biostatistician, a source of legal or regulatory advice, or an authoritative citation of record for regulatory submissions.
The Service must not be used for: individual patient diagnosis, individual patient treatment decisions, dosing of identified real patients outside of a qualified clinical workflow, or as the sole basis for any Investigational New Drug (IND), New Drug Application (NDA), or 510(k) submission.
All computational outputs (dose recommendations, sample sizes, power calculations, statistical analyses) must be independently reviewed by a qualified human professional prior to use. The user assumes full responsibility for verifying correctness in their specific context.
1A. Pre-Launch Reservations
1A.1 Nature of a reservation
A pre-launch reservation is a free, non-binding expression of interest. No payment method is collected, no charge is made, and no contract for the sale of goods or services is formed. Placing a reservation creates no obligation for you to purchase and no obligation for Quandra Sciences to deliver.
1A.2 Pre-incorporation status
Quandra Sciences is not yet incorporated. Reservations are collected by Johnny Efrain Ortega personally in anticipation of forming an operating entity. That entity will be legally named and disclosed to you before any payment is ever requested or processed.
1A.3 Founder and early-reservation pricing
The first 250 confirmed reservations are designated founder reservations and, at launch, are offered a 40% discount off then-current list pricing for the life of a continuously active subscription. Reservations confirmed after the founder cap is reached but before the announced launch date are offered a 10% discount off then-current list pricing on the same terms. Positions are assigned in the order reservations are confirmed by email, not in the order they are submitted. This offer is honored if and when the Service launches; it is not a guarantee that the Service will launch. If the Service does not launch, the reservation simply lapses and you owe nothing.
1A.4 Redemption
Founder reservations are redeemed through a unique, single-use link sent to the email address on the reservation on or after the announced launch date. The link expires 30 days after issue, is non-transferable, and may be used once. Discounted pricing terminates if the subscription lapses.
1A.5 Communications and data
By reserving you consent to receive periodic email updates about launch timing and product progress. You may withdraw consent at any time by replying to any such email, which also cancels the reservation. The information you provide (name, email, organization, role, team size, and intended use) is stored solely to administer the reservation and is not sold or shared with third parties. It is deleted on request.
1A.6 Scope unchanged
All Research Use Only limitations, disclaimers, and human-review requirements described elsewhere in this document apply in full to any Service ultimately delivered under a founder reservation. A reservation grants no access to the Service before launch.
2. Terms of Service
2.1 Acceptance
By accessing or subscribing to the Service, you ("Customer") agree to these Terms. If you are acting on behalf of an organization, you represent that you have authority to bind it.
2.2 The Service
The Service is a research-mode reasoning assistant provided by Quandra Sciences, Inc. (Delaware C-Corp in formation) ("Provider", "we"). Included capabilities are documented on the pricing page. Capabilities not listed are not part of the Service.
2.3 Subscriptions and Billing
Subscriptions are billed monthly or annually in advance. Monthly subscriptions may be canceled at any time and take effect at the end of the current billing period. Annual subscriptions carry a 14-day money-back window. All fees are exclusive of applicable taxes.
2.4 Customer Data
Customer retains all rights to inputs and outputs. The Provider is granted a limited license to process inputs solely to deliver the Service, generate telemetry for reliability, and improve verifier calibration (aggregate, non-identifying signal only). Customer may request deletion of stored inputs at any time.
2.5 Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". PROVIDER DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT OUTPUTS ARE COMPLETE, ACCURATE, OR SUITABLE FOR ANY REGULATORY, CLINICAL, OR COMMERCIAL PURPOSE.
2.6 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID BY CUSTOMER TO PROVIDER IN THE TWELVE MONTHS PRECEDING THE CLAIM. PROVIDER IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR CLINICAL OR REGULATORY OUTCOMES.
2.7 Indemnity
Customer will defend and indemnify Provider against claims arising from (a) Customer's use of Service outputs in a clinical, regulatory, or commercial context without qualified human review, (b) Customer's violation of the Acceptable Use Policy, or (c) Customer's submission of PHI, PII, or other regulated data in violation of these Terms.
2.8 Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts principles. Disputes will be resolved in the state or federal courts of Delaware.
3. Acceptable Use Policy
You agree not to use the Service to:
- Make decisions about the care of any identified individual patient.
- Process Protected Health Information (PHI) or personally identifiable information (PII) of patients, subjects, or research participants except on Enterprise plans with an executed BAA.
- Generate content intended to be submitted to a regulatory authority without human expert review.
- Bypass, disable, or misrepresent the Service's refusal, PHI-guard, or verifier mechanisms.
- Resell, sublicense, or provide the Service to third parties without a written reseller agreement.
- Reverse-engineer, scrape at scale, or attempt to extract model weights or the reference corpus.
- Use the Service in weapons research, dual-use bioengineering research of concern (DURC), or any activity prohibited under the U.S. Biological Weapons Anti-Terrorism Act.
- Generate content that violates applicable law, including export controls, sanctions, and privacy regulations.
Violation may result in immediate suspension without refund. We reserve the right to refuse service and to log refusals for compliance review.
4. Privacy Policy
4.1 What we collect
Account information (email, organization), subscription and payment metadata (processed by a third-party payment provider), query inputs and generated outputs, telemetry (latency, verifier outcomes, model routing decisions), and standard web logs (IP, user agent).
4.2 How we use it
To deliver the Service, bill Customer, respond to support requests, monitor reliability, improve verifier calibration on aggregate non-identifying signal, and comply with legal obligations. We do not sell personal data. We do not train foundation models on Customer inputs.
4.3 Retention
Query inputs and outputs are retained for 90 days by default and then purged from live systems. Audit sign-off records (immutable, hash-chained) are retained for 7 years for regulatory traceability, per Customer configuration. Customer may request deletion of live-system records at any time by emailing johnny@quandrasciences.com.
4.4 Subprocessors
The Service uses the following subprocessors: model providers (via the Lovable AI Gateway), Supabase (managed Postgres and object storage), and Cloudflare Workers (edge compute). A current subprocessor list is available on request.
4.5 Your rights
EU, UK, and California residents have rights of access, correction, deletion, and portability. Email johnny@quandrasciences.com.
5. Data Processing & HIPAA
Default plans (Solo, Team, Lab) do not process PHI. The system's PHI-guard refuses inputs containing detectable PHI patterns (medical record numbers, insurance identifiers, subscriber numbers). Customer is responsible for de-identifying data before submission.
Enterprise plans include an executed Business Associate Agreement (BAA) where permitted and a standard Data Processing Addendum (DPA) covering GDPR Article 28 requirements.
Quandra v8 is not currently HITRUST-certified, SOC 2-attested, or ISO 27001-certified. These certifications are on the roadmap for 2027. We publish a current security posture and control set on request.
